1. Definitions |
- "Client" or "User": The individual or entity using the Services.
- "Freedom Machine": A bundled system including websites, automations, and tools.
- "Your Data": Content/data uploaded or collected through your use.
- "Third-Party Services": Tools integrated (e.g., GoHighLevel, Stripe).

2. Ownership and Licensing |
- You are granted a non-transferable, non-sublicensable, non-exclusive license to use the Services.
- You may not resell, transfer, rebrand, sublicense, or redistribute Digital Freedom Agency systems without written consent.
- All materials remain the property of Digital Freedom Agency.
- Unauthorized duplication or replication in another agency will result in legal action and pursuit of damages.

3. Website and System Use |
- Licensed only to the original purchaser.
- Transfers, assignments, or resales are strictly prohibited.
- Violations will lead to immediate termination.

4. Use of Third-Party Services |
- We integrate external services like GoHighLevel and Stripe.
- We are not responsible for any disruptions or losses caused by these tools.

5. Data & User Contributions |
- You retain ownership of your data.
- We may use anonymized data to improve the Service.
- You are responsible for legal compliance of data you submit or collect.

6. Client Responsibilities |
- Maintain login security and provide accurate info.
- Comply with privacy and anti-spam laws.
- Back up your own data regularly.

7. Termination and Suspension |
- We may revoke access for breach, non-payment, or unethical conduct.
- Subscriptions renew automatically unless cancelled in writing at least 7 days prior.

8. Non-Rebranding Clause |
You may not alter or remove Digital Freedom Agency branding without written approval. |
9. Refund Policy |
- Fees are non-refundable, including setup, installation, and partial use.
- Cancel in writing 7+ days before renewal to avoid next charge.
- Access is revoked immediately upon cancellation unless otherwise agreed.
- Outstanding usage charges (e.g., SMS) must be paid within 7 days of cancellation.
- Chargebacks are not permitted. Legal action and full cost recovery will be pursued.

10. Modification of Services |
We may change or discontinue any aspect of the Service at any time. |
11. Idea Submissions |
- You grant us royalty-free, perpetual rights to any submitted ideas.
- No confidentiality or compensation is assumed.

12. Privacy and Data Protection |
- You must obtain user consent before collecting data.
- We are not liable for misuse of data you input into the system.

13. Payments and Fees |
- All fees are billed in advance.
- SMS, email, and phone usage fees are billed separately.
- Failure to pay may result in termination.

14. Limited Liability |
- Services are provided “as is.”
- We are not responsible for indirect damages or losses.
- Maximum liability limited to fees paid in prior 3 months.

15. Force Majeure |
We are not liable for delays or failures caused by events beyond our control. |
16. Dispute Resolution |
- All disputes shall be governed by the laws of Australia.
- If mediation is unsuccessful, disputes will be resolved through binding arbitration under Australian law.
- International users agree to comply with local laws and acknowledge these Terms are governed by Australian law regardless of location.

17. Assignment |
You may not assign your rights under these Terms without written permission. |
18. Changes to These Terms |
We may update these Terms at any time. Continued use means you accept the changes. |
19. Team Access & Licensing |
- Unless otherwise agreed in writing, Services are licensed for individual business use only.
- You may not share, resell, or sublicense the system to other users, team members, or downline members unless you have an approved multi-user or team license.
- Affiliate or co-branded Freedom Machines must be arranged via an authorized partnership.

20. Scope of Services |
- Your package includes only the specific services, templates, automations, and support outlined in your agreement.
- Requests for additional setup, customization, or manual support may incur additional charges and require written approval.

21. Support & Response Times |
- Standard support is available Monday to Friday during business hours (AWST).
- We aim to respond to all inquiries within 48 business hours.
- 24/7 or priority support must be arranged as part of a premium package.

22. Technology Disclaimer |
- Digital Freedom Agency leverages third-party platforms and emerging AI tools.
- We cannot guarantee permanent compatibility, feature continuity, or error-free performance due to updates, bugs, or platform changes outside our control.

23. Funnel Agreement |
If you are purchasing or activating a Freedom Machine via a checkout page, you may be required to check a box indicating:
“I agree to the Terms of Service and understand this system is non-transferable and non-refundable.”
This checkbox acts as a binding agreement to these terms.
